TERMS.OF.SERVICE

These Terms of Service ("Terms") govern your access to and use of the Revenue Desktop platform operated by CHAOSAiGENT ("we," "us," or "our"). By accessing or using Revenue Desktop, you agree to be bound by these Terms.

1. ACCEPTANCE.OF.TERMS

By creating an account, accessing, or using Revenue Desktop, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the platform.

If you are using Revenue Desktop on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. DESCRIPTION.OF.SERVICE

Revenue Desktop is a desktop-OS-inspired SaaS platform that provides users with a workspace environment including:

• A shell interface (menubar, drawer, dock, window manager)
• Access to tools and applications within the workspace
• A knowledge base system (neural n0de) for persistent content and context
• Premium content and AI-powered features via VaiB credits
• File storage and collaboration capabilities

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. ACCOUNT.REGISTRATION

3.1 Eligibility

You must be at least 16 years old to create an account. By registering, you represent that you meet this requirement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

We authenticate users via OAuth providers (Google, LinkedIn). You are responsible for the security of your linked OAuth accounts.

3.3 Account Accuracy

You must provide accurate, current, and complete information during registration and keep it updated.

4. SUBSCRIPTION.TIERS

Revenue Desktop offers the following subscription tiers:

Specific features, limits, and pricing for each tier are detailed on our pricing page and may be updated from time to time. Tier names and structure are subject to change with notice.

5. VAIB.CREDITS

5.1 What Are VaiBs

VaiBs are virtual credits used within Revenue Desktop to access AI-powered features and premium services via the platform services gateway.

5.2 Purchase and Use

• VaiBs may be purchased or earned through your subscription tier
• VaiB pricing is displayed at the time of purchase in USD
• VaiBs are consumed when you use eligible AI features and services

5.3 Non-Refundable

VaiBs are non-refundable and non-transferable. Unused VaiBs cannot be exchanged for cash or credit.

5.4 Expiration

VaiBs may expire according to the rules of your subscription tier. Expiration schedules are detailed on the pricing page. Downgrading your subscription may affect your VaiB balance.

5.5 No Monetary Value

VaiBs have no monetary value outside of the Revenue Desktop platform. They are a license to access specific platform features, not a stored-value instrument.

6. PAYMENT.TERMS

6.1 Billing

• All payments are processed through Stripe
• Subscriptions are billed in USD on a recurring basis (monthly or annual)
• You authorize us to charge your payment method on file for all fees incurred

6.2 Price Changes

We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.

6.3 Refunds

Subscription fees are generally non-refundable except where required by applicable law. Partial-month refunds are not provided for mid-cycle cancellations.

6.4 Failed Payments

If a payment fails, we may suspend access to paid features until the payment issue is resolved. We will attempt to notify you before any suspension.

7. ACCEPTABLE.USE

You agree NOT to:

• Violate any applicable law or regulation
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the platform or other users' accounts
• Use the platform to harass, abuse, or harm others
• Scrape, crawl, or data-mine the platform without authorization
• Resell or redistribute access to the platform or VaiB credits
• Use AI features to generate content that violates applicable laws
• Circumvent usage limits, rate limits, or access controls
• Interfere with or disrupt the platform infrastructure

We reserve the right to suspend or terminate accounts that violate this policy.

8. INTELLECTUAL.PROPERTY

8.1 Our Property

Revenue Desktop, its design system (Bootdisk), branding, code, and documentation are the intellectual property of CHAOSAiGENT. You may not copy, modify, or distribute any part of the platform without written permission.

8.2 Your Content

You retain ownership of content you create within Revenue Desktop. By using the platform, you grant us a limited license to host, store, and display your content solely for the purpose of providing the service to you.

8.3 Feedback

If you provide feedback or suggestions about Revenue Desktop, we may use them without obligation to you.

9. LIMITATION.OF.LIABILITY

To the maximum extent permitted by applicable law:

• Revenue Desktop is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not warrant that the service will be uninterrupted, error-free, or secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow limitation of certain warranties or damages. In such cases, our liability is limited to the greatest extent permitted by law.

10. INDEMNIFICATION

You agree to indemnify and hold harmless CHAOSAiGENT, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of Revenue Desktop
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or share through the platform

11. TERMINATION

11.1 By You

You may cancel your subscription and delete your account at any time. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use policy
• Your account is used for illegal activity
• Payment is past due after reasonable notice
• We discontinue the service (with reasonable notice)

11.3 Effect of Termination

Upon termination:

• Your access to paid features ceases immediately
• Unused VaiBs are forfeited
• We may delete your data after a 30-day grace period
• Provisions that by their nature should survive (liability, indemnification, governing law) will survive

12. GOVERNING.LAW

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Fulton County, Georgia, USA.

13. DISPUTE.RESOLUTION

Before filing any formal legal action, you agree to attempt to resolve disputes informally by contacting us at support@revenuedesktop.com. We will attempt to resolve the matter within 30 days. If informal resolution fails, either party may pursue formal proceedings as described in Section 12.

14. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. ENTIRE.AGREEMENT

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and CHAOSAiGENT regarding use of Revenue Desktop.

16. CHANGES.TO.TERMS

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page
• Notify you via email or a prominent notice within the platform
• Provide at least 30 days' notice for material changes

Your continued use of Revenue Desktop after changes take effect constitutes acceptance of the updated Terms.
